Streszczenie:
W artykule przedstawiono istotę fairness opinions oraz ich wykorzystanie w transakcjach fuzji i przejęć. Wyróżniono podmioty zamawiające tego typu opinie oraz szerzej scharakteryzowano wystawców fairness opinions, zwłaszcza banki inwestycyjne, podkreślając istotność ich niezależności i bezstronności w związku z przygotowaniem opinii. Zwrócono uwagę na formę i treść fairness opinions oraz funkcje spełniane przez nie na rynku fuzji i przejęć. Dokonano też przeglądu regulacji dotyczących fairness opinions w sześciu wybranych krajach: USA, Wielkiej Brytanii, Francji, Niemczech, Polsce i Szwajcarii.

FAIRNESS OPINIONS IN MERGERS AND ACQUISITIONS
Abstract:
The article presents the substance of fairness opinions and their use in mergers and acquisitions. Entities ordering the issue of such opinions have been broadly characterised along with the issuers of fairness opinions – investment banks in particular. The importance of their independence and impartiality in relation to the preparation of such opinions has been highlighted. The Author has concentrated on the form and the contents of fairness opinions as well as the role they play on the market of mergers and acquisitions. The articles also constitutes the review of regulations governing fairness opinions in six selected countries, namely USA, Great Britain, France, Germany, Poland and Switzerland.
